We officially announce a complete restructuring of our group and a change in its legal and commercial identity, officially launching on December 3, 2025, under the name "IBN MUBARAK GROUP Al-Shahrani LLC", registered under the trade name "Nasser bin Mohammed Mubarak (Single Member LLC)", with commercial registration number 7052809683 and e-commerce documentation number 0000205980. This change comes less than four months (exactly 3 months and 6 days) after our initial establishment under the name "TLER GROUP LLC" on August 27, 2025, in a move we consider an early and proactive correction rather than a retreat from an existing path.
This decision came after we discovered that there are other companies carrying the name "TLER" registered before us, which opens the door to unacceptable commercial and legal confusion for us, whether in dealings with government and regulatory entities or in distinguishing our identity before our clients and partners. We realized that continuing to operate under a name that may overlap with other entities poses a legal and reputational risk that does not align with the level of ambition we are building, especially as our scope of work expands to include multiple brands and partnerships under our umbrella.
The considerations for the trade name were not the only factor; the phase in which we established the first entity had not yet completed the structuring of our subsidiary brands or the full regulatory arrangement of the group, which made the re-establishment an opportunity to build the administrative and legal structure on clearer foundations from the start, instead of partial subsequent amendments that would have left gaps in governance.
Based on this, we made our decision to completely and permanently close the previous company, along with all the regulatory procedures required by the relevant authorities, and to re-establish the group under the new name with its commercial registration and all its official documents. This practically means that all our existing contracts, partnerships, and agreements have been re-linked to the new entity, ensuring the continuity of obligations without interruption towards any party we have previously dealt with.
We recognize that changing the legal identity of a group within a few months of its initial establishment may raise legitimate questions among our partners, clients, and audience, which is why we choose complete transparency in presenting the reasons for the decision and its timing, rather than leaving the matter unexplained. We consider this decision part of our commitment to institutional discipline: when a legal or regulatory risk arises, we address it directly and early, not after it turns into an actual issue.
Practically, our business model and brand structure remain unchanged; the modification is limited to the legal identity of the hosting entity, not to how we manage our brands or our existing commitments to various stakeholders, including employees, partners, clients, and collaborators.
